By accessing or using the EXOPS AI website, AI Agent Library, ready-to-use AI agents, custom AI agent deployments, consulting services, digital downloads, documentation, or related support provided by EXOPS AI L.L.C. (“EXOPS AI,” “we,” “us,” or “our”), you agree to these Terms and Conditions and our Privacy Policy.

If you do not agree to these Terms, do not use our website or services.

2. Definitions

“Services” means the EXOPS AI website, AI Agent Services, AI Agent Library products, custom AI agent deployments, consulting services, digital downloads, documentation, support, and related offerings provided by EXOPS AI.

“AI Agent Services” means ready-to-use AI agents, AI Agent Library products, custom AI agents, workflow support tools, document review agents, training agents, decision support agents, and related AI-supported services provided or configured by EXOPS AI.

“User,” “you,” or “your” means the individual or entity accessing, purchasing, or using the Services.

“AI Agent Session Input” means prompts, text, files, documents, images, data, instructions, or other content submitted by you for processing by an EXOPS AI agent or related service.

“AI Agent Output” means text, documents, summaries, recommendations, analysis, responses, or other output generated by an EXOPS AI agent or related service.

3. License & Access

EXOPS AI grants you a non-exclusive, non-transferable, revocable, limited license to access and use the Services in accordance with these Terms.

Access begins when your purchase is completed or when access is otherwise provided by EXOPS AI. Links, instructions, digital downloads, or access materials may be delivered through your purchase receipt, email, download file, client workspace, or other approved delivery method.

Unless otherwise stated on a product page or agreement, purchase of a ready-to-use AI Agent Library product grants access to that product and related updates made available by EXOPS AI for that product.

Access may depend on third-party platforms, user accounts, internet connectivity, browser settings, workspace permissions, or other technical requirements.

However, EXOPS AI does not guarantee specific outcomes, cost savings, time savings, error reduction, compliance results, operational results, revenue, or return on investment.

The Services are provided “as is” and “as available” without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, or uninterrupted operation.

4.1 AI Output and Professional Judgment

AI Agent Outputs may contain errors, omissions, outdated information, incomplete analysis, or unsuitable recommendations. Outputs should be reviewed by qualified personnel before use.

EXOPS AI agents are designed to support users, not replace professional judgment, company procedures, legal advice, engineering review, safety management systems, regulatory requirements, or operational decision authority.

You are responsible for evaluating AI Agent Outputs and determining whether they are suitable for your intended use.

4.2 Content Liability

We do not guarantee that information on our website, product pages, AI Agent Library, documentation, blog, or other materials is complete, accurate, current, or suitable for your specific use case. EXOPS AI is not liable for losses or damages arising from reliance on website content or AI Agent Outputs.

5. Dependency on Third-Party Platforms

Some EXOPS AI agents and services may depend on third-party AI platforms, including OpenAI services, ChatGPT, APIs, hosting providers, payment processors, website platforms, or other software and infrastructure providers.

EXOPS AI is not responsible for third-party platform outages, access restrictions, pricing changes, API changes, model changes, workspace settings, account requirements, policy updates, usage limits, downtime, or service interruptions.

If you access an EXOPS AI agent through your own ChatGPT account or another third-party account, your use may also be subject to that provider’s terms, privacy policy, account settings, usage limits, retention rules, and data controls.

OpenAI states that API inputs and outputs may be retained for up to 30 days for abuse monitoring unless a different retention setting applies, longer retention is required by law, or an approved zero data retention arrangement is in place.

6. Intellectual Property

EXOPS AI retains all rights, title, and interest in and to the Services, including AI agent designs, configurations, workflows, prompts, system instructions, product concepts, product names, documentation, website content, branding, logos, trade names, methodologies, and related intellectual property.

You may not copy, resell, sublicense, reproduce, distribute, reverse-engineer, publish, or create competing products from the Services except as expressly permitted in writing by EXOPS AI.

6.1 User Inputs

You retain ownership of AI Agent Session Inputs and other content you submit to the Services.

By submitting AI Agent Session Inputs, you grant EXOPS AI a limited license to process that content solely as necessary to provide the Services, generate AI Agent Outputs, deliver support, troubleshoot issues, fulfill an agreement, or comply with legal obligations.

EXOPS AI does not intentionally retain AI Agent Session Inputs beyond what is required to provide the Services, unless needed for support, troubleshooting, security, legal compliance, product improvement requested by the client, or where you submit information through website forms, email, or support channels.

Where EXOPS AI uses OpenAI business or API services, customer inputs are not used to train OpenAI models by default unless data sharing has been explicitly enabled. OpenAI’s platform documentation states that API data is not used to train OpenAI models unless the customer explicitly opts in.

6.2 User Comments & Community Content

Some areas of our website may allow you to post comments, reviews, feedback, or other user-generated content. You agree that:

You own or have rights to any content you post.
Your content will not be defamatory, infringing, unlawful, abusive, misleading, or harmful.
EXOPS AI may monitor, edit, remove, or refuse user-generated content at its discretion.
By posting content, you grant EXOPS AI a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute that content in connection with the website, Services, marketing, or support activities.

7. User Conduct & Restrictions

You agree not to:

Use the Services for unlawful, harmful, abusive, fraudulent, or deceptive purposes.
Use the Services in violation of applicable third-party AI platform policies.
Reverse-engineer, decompile, extract, scrape, copy, or attempt to recreate EXOPS AI prompts, system instructions, configurations, workflows, or product logic.
Share access links, account credentials, downloads, or paid materials outside authorized users or organizations.
Resell, redistribute, sublicense, or commercially exploit the Services without written permission.
Upload malware, harmful code, unlawful content, confidential information you are not authorized to use, or third-party intellectual property without permission.
Use the Services to make final legal, financial, medical, engineering, safety, regulatory, or operational decisions without qualified human review.

8. Payment & Refund Policy

Unless otherwise stated, ready-to-use AI Agent Library products are sold for a one-time fee. Access instructions, downloads, or product materials are delivered after purchase through the checkout process, email, digital download, or other approved delivery method.

EXOPS AI may offer custom pricing for consulting services, custom AI agent development, enterprise deployment, support, or other client-specific services.

Refunds: Full refunds may be available if requested within 24 hours of purchase, provided reasonable usage limits have not been exceeded and access materials have not been misused, redistributed, copied, or commercially exploited. To request a refund, contact info@exopsai.io.

EXOPS AI reserves the right to deny refund requests involving abuse, excessive use, unauthorized sharing, or violation of these Terms.

9. Limitation of Liability

To the maximum extent permitted by law, EXOPS AI and its affiliates, officers, employees, contractors, service providers, and agents shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost revenue, loss of goodwill, business interruption, operational losses, or reliance damages.

To the maximum extent permitted by law, EXOPS AI’s total aggregate liability for any claim arising out of or relating to the Services shall not exceed the total fees paid by you for the specific Service giving rise to the claim during the 12 months before the claim arose.

10. Indemnification

You agree to indemnify, defend, and hold harmless EXOPS AI and its affiliates, officers, employees, contractors, service providers, and agents from and against any claims, damages, losses, liabilities, costs, or expenses arising from your use of the Services, your AI Agent Session Inputs, your violation of these Terms, your violation of applicable law, or your infringement of third-party rights.

EXOPS AI may update these Terms at any time. We will post revisions with an updated “Last Updated” date. Continued use of the website or Services after changes are posted means you accept the updated Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any disputes arising from or relating to these Terms or the Services shall be brought in the state or federal courts located in Harris County, Texas, USA, unless otherwise required by applicable law.
